This Non-Exclusive NFT Music Agreement ("Agreement") is entered into as of [04-20 -2024] ("Effective Date") between: [The Owner Of This NFT] ("Licensee"), and Insider Productionz ("Producer"). WHEREAS, Licensee desires to obtain a non-exclusive license to use the instrumental track titled "Grimm" ("Instrumental") created by Producer for purposes of monetization in non-fungible token (NFT) projects; and WHEREAS, Producer is the rightful owner and creator of the Instrumental and desires to grant Licensee a non-exclusive license to use the Instrumental under the terms and conditions set forth herein. NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties hereby agree as follows: License Grant: a. Producer hereby grants Licensee a non-exclusive, worldwide, royalty-bearing license to use the Instrumental solely for the purpose of creating, promoting, and selling NFTs. b. This license does not grant Licensee any ownership rights to the Instrumental. Licensee acknowledges that Producer retains all rights, title, and interest in and to the Instrumental, including any copyrights therein. Monetization: a. Licensee may use the Instrumental for monetization purposes, including but not limited to the creation and sale of NFTs, as long as Licensee acknowledges Producer ("Insider Productionz") as the creator of the Instrumental in all associated works and promotions. b. Licensee agrees to provide clear and visible attribution to Producer in any NFT project or promotional material where the Instrumental is used. Royalty Shares: a. Licensee agrees to pay Producer a royalty of 40% of any revenue generated from the use of the Instrumental in NFT projects. Such revenue shall be calculated as gross revenue generated from the sale of NFTs or any other monetization methods directly associated with the use of the Instrumental. b. Royalty payments shall be made to Producer every quarter until the end of each calendar year. Licensee shall provide Producer with a detailed report of revenue generated during the reporting period. Term and Termination: a. This Agreement shall commence on the Effective Date and shall continue in effect until terminated by either party in accordance with this Agreement. b. Either party may terminate this Agreement upon written notice to the other party if the other party materially breaches any provision of this Agreement and fails to cure such breach within [120] days of receiving written notice thereof. Miscellaneous: a. This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter. b.
