This Exclusive Agreement ("Agreement") is made and entered into between Insider Productionz ("Creator") and the Owner/Purchaser of NFT, effective as of 04-08-2024 Scope of Agreement: a. The Creator hereby grants Owner/Purchaser of NFT exclusive rights to the musical composition titled [Shoes] (the "Composition") for the purpose of creating and distributing a Music NFT (Non-Fungible Token). b. This Agreement includes all stems from the musical composition, which shall be provided by the Creator to Owner/Purchaser of NFT for distribution to purchasers of the Music NFT. Purchase of Multiple NFTs: a. In order to maintain exclusivity, purchasers must buy all 5 NFTs of the Composition available on Sound.xyz at the time of purchase. b. By purchasing all 5 NFTs, the purchaser gains exclusive access to the Composition and its stems, ensuring that no one else can access or distribute the instrumental. Delivery of Stems: a. Upon purchase of the Music NFT, the purchaser shall receive a Google Drive link to download all stems of the Composition. b. The Creator shall ensure that the stems are delivered promptly and are of satisfactory quality for use by the purchaser. Royalties: a. Owner/Purchaser of NFT agrees to pay a royalty rate of 15% of the net proceeds generated from the sale or licensing of the Composition and its stems globally. b. Royalties shall be calculated and paid to the Creator on a quarterly basis. c. Authorship and Creator Acknowledgment: a. Owner/Purchaser of NFT acknowledges that the Creator is the sole author and creator of the Composition. b. Owner/Purchaser of NFT agrees to credit the Creator as the author of the Composition in all promotional materials, distribution platforms, and associated documentation. Duration: a. This Agreement shall remain in effect for a period of 5 years from the effective date, unless terminated earlier due to breach of contract by either party. b. Either party may terminate this Agreement in the event of a material breach by providing written notice to the breaching party. Breach of Contract: a. In the event of a breach of contract by either party, the non-breaching party reserves the right to terminate this Agreement. b. Upon termination due to breach of contract, all rights and obligations under this Agreement shall cease, except for those provisions which by their nature survive termination. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Los Angeles, California], without regard to its conflict of laws principles.
